Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your access to and use of the NicheProwler API website, dashboard, authentication features, and programmatic API endpoints (collectively, the “Services”), operated by NicheProwler API (“we,” “us,” or “our”). By creating an account, accessing the dashboard, or calling the API, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

2. Eligibility and accounts

You must provide accurate registration information and keep your credentials secure. You are responsible for all activity under your account, including actions taken with your API keys. Notify us promptly if you suspect unauthorized access.

3. License to use the Services

Subject to these Terms and your payment of applicable fees (if any), we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with our documentation and fair usage practices.

4. API keys, rate limits, and acceptable use

You agree not to, and not to assist others to:

  • violate applicable law or third-party rights;
  • probe, scan, or test the vulnerability of the Services without authorization;
  • attempt to gain unauthorized access to systems, data, or accounts;
  • overload, disrupt, or circumvent technical measures, quotas, or rate limits;
  • use the Services to distribute malware, conduct phishing, or send spam;
  • resell or redistribute API access in a way that misrepresents attribution or bypasses billing;
  • use outputs to train competing models or services in violation of our policies, if we publish such restrictions.

We may suspend or terminate access, throttle requests, or block traffic that appears abusive, fraudulent, or harmful to the Services or other customers.

5. Credits, billing, and taxes

Certain features require prepaid credits or other fees as described at checkout or in-product. Prices, packs, and metering rules may change with notice where required. You authorize us and our payment partners to charge applicable amounts. Fees are exclusive of taxes unless stated otherwise; you are responsible for any taxes associated with your purchases.

6. Third-party platforms and data

The Services may retrieve or process information from third-party sources based on your requests. You are solely responsible for complying with those third parties’ terms, policies, and applicable law. We do not guarantee availability, accuracy, or completeness of third-party data, and third parties may change or revoke access without notice.

7. Intellectual property

We retain all rights, title, and interest in the Services, software, branding, and documentation. Except for the limited license above, no rights are granted by implication. Feedback you provide may be used without obligation to you.

8. Confidentiality

API keys and non-public dashboard information are confidential. Do not disclose keys in public repositories, client-side code, or support tickets unless you intend to rotate them.

9. Disclaimers

The Services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant uninterrupted or error-free operation, or that outputs will meet your requirements.

10. Limitation of liability

To the fullest extent permitted by law, neither we nor our suppliers will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, goodwill, or data, arising out of or related to the Services, even if advised of the possibility. Our aggregate liability for any claim arising out of or related to the Services will not exceed the greater of (a) the amounts you paid us for the Services in the three (3) months before the event giving rise to the claim, or (b) fifty U.S. dollars (USD $50), except where prohibited by law.

11. Indemnity

You will defend and indemnify us and our affiliates, directors, employees, and agents against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your API requests and data inputs, or your violation of these Terms or applicable law.

12. Suspension and termination

You may stop using the Services at any time. We may suspend or terminate access for breach, risk, legal requirements, or discontinuation of the Services. Provisions that by their nature should survive will survive termination (including disclaimers, limitations, indemnity, and governing law).

13. Changes

We may modify these Terms by posting an updated version on this page and updating the “Last updated” date. Continued use after the effective date constitutes acceptance of the revised Terms, except where applicable law requires additional notice or consent.

14. Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which the operator of the Services is organized, excluding conflict-of-law rules, unless mandatory consumer protections in your country apply. Courts in that jurisdiction have exclusive venue, unless applicable law requires otherwise.

15. Privacy

Our collection and use of personal information is described in the Privacy Policy, which is incorporated by reference.

16. Miscellaneous

If any provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms constitute the entire agreement between you and us regarding the Services and supersede conflicting prior agreements on this subject.
